Board Meeting Minutes

Date: 10/20/2024

Time: 9:00 - 11:00 AM

Location: UKRAFT Brunch Cafe (it was fantastic)

1. Call to Order

   • The meeting was called to order by Scott Welzbacher at 9:00 AM.

2. Roll Call

   • Present: [Alan Pautsch, Chris Melnick, and Scott Welzbacher]

   • Absent: [None]

   • Quorum Confirmation: [A quorum was present.]

3. Approval of Meeting Agenda

   • Motion: Alan moved to approve the agenda as presented.

   • Second: Scott

   • Vote: [Motion passed by a unanimous vote.]

4. Opening of Bank Accounts

   • Discussion: Account open process started at US Bank with all current Board Members to have financial authority on the account.  Account should be fully open after bank review some time in the week starting 10/21.

   • Action Items:  Chris to call and get added to the bank.

5. Initial Budget Planning

   • Present: Preliminary budget

   • Discussion: Budget to be planned in "phases".  Each phase is activated once objectives are met from previous phase.  The next phase should be planned in enough detail to set fundraising and expenditure targets.

   • Action Items: Alan and Chris to meet and create budget for initial phases.

     1. Get seeds in the hands of people ready to plant

7. Director Profiles

   • Discussion: Need to have some profile for each of the founders on the Board of Directors page.  There is general agreement that this is the case.

   • Motion: Motion to adjourn the meeting by Scott at 11:20 AM.
